Dispute resolution
The value of a company's shares can be at issue in many types of dispute, for example:
- Shareholder disputes resulting in petitions under section 459 of the Companies Act 1985
- Disputes arising from matrimonial proceedings concerning the value of a family business
- The assessment of damages in professional negligence and other actions
- The departure of a shareholder from the management of a company and the requirement for his shares to be transferred under provisions included in the articles of association or shareholders' agreement
Angela Hennessey is an experienced expert, a Fellow of the Chartered Institute of Arbitrators and a Chartered Arbitrator. She can provide the following services:
- Advice on valuation issues prior to a claim being made
- Expert witness in litigation, arbitration or in mediation proceedings
- Expert determination, where the parties agree to be bound by the expert's decision
- Expert opinions on value either appointed jointly by the parties or by one party only
- Advice to assist with negotiations or negotiations on behalf of client
- Arbitration, under the Arbitration Act 1996 or institutional rules
Most often her reports have resulted in a settlement satisfactory
to her client being reached prior to the dispute reaching court.
She has been appointed on many occasions by the President of the Institute of Chartered Accountants in England and Wales to act as independent expert in determining valuation and breach of warranty disputes where the parties cannot agree on who to appoint as expert.
